Agreement to Terms

By accessing or using the services provided by PPC Impact LLC ("Company," "we," "our," or "us"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.

Services Description

PPC Impact provides Google Ads management services for e-commerce businesses, including but not limited to:

  • Google Shopping campaign management
  • Search advertising campaign management
  • Performance Max campaign management
  • Product feed optimization
  • Bid strategy development and optimization
  • Performance reporting and analysis

Client Responsibilities

As a client, you agree to:

  • Provide accurate and complete information about your business
  • Grant necessary access to your Google Ads and Merchant Center accounts
  • Maintain an active and funded Google Ads account
  • Respond to communications in a timely manner
  • Comply with Google Ads policies and guidelines
  • Pay all fees as outlined in your service agreement

Account Ownership

You retain full ownership of your Google Ads account, Google Merchant Center, and all associated data at all times. We operate as a manager on your accounts and do not claim ownership of any account, campaign, or data. Upon termination of services, you maintain complete access and control of your accounts.

Fees and Payment

Our management fees are separate from your Google Ads spend. Specific pricing and payment terms will be outlined in your individual service agreement. Payment terms typically include:

  • Monthly management fees billed in advance
  • Payment due within 15 days of invoice
  • Late payments may result in service suspension

Your Google Ads budget is paid directly to Google and is not included in our management fees.

Service Term and Termination

We recommend a minimum 3-month engagement to allow sufficient time for campaign optimization and data collection. After the initial period:

  • Services continue on a month-to-month basis
  • Either party may terminate with 30 days written notice
  • Upon termination, we will provide a transition period and documentation
  • You retain full access to all accounts and campaign data

Results Disclaimer

While we strive to deliver the best possible results, we cannot guarantee specific outcomes. Advertising performance depends on many factors including:

  • Market conditions and competition
  • Product pricing and availability
  • Website quality and user experience
  • Seasonal trends
  • Budget allocation
  • Changes to Google's algorithms and policies

Past performance is not indicative of future results. We provide our professional expertise and best efforts but do not guarantee specific ROAS, conversion rates, or sales figures.

Confidentiality

We agree to keep your business information confidential, including:

  • Account performance data
  • Business strategies and plans
  • Customer information
  • Proprietary business information

We will not share your information with third parties except as necessary to provide our services or as required by law.

Limitation of Liability

To the maximum extent permitted by law, PPC Impact LLC shall not be liable for:

  • Indirect, incidental, special, or consequential damages
  • Loss of profits, revenue, or business opportunities
  • Google account suspensions or policy violations not caused by our actions
  • Third-party actions or service interruptions
  • Force majeure events

Our total liability shall not exceed the fees paid by you in the three months preceding the claim.

Intellectual Property

All campaign strategies, optimizations, and methodologies developed by PPC Impact remain our intellectual property. However, all ad copy, creative assets provided by you, and campaign data remain your property.

Google Ads Policies

You agree to comply with all Google Ads policies and guidelines. We will manage your campaigns in accordance with these policies, but you are ultimately responsible for ensuring your products, services, and website comply with Google's requirements.

Indemnification

You agree to indemnify and hold harmless PPC Impact LLC from any claims, damages, or expenses arising from:

  • Your violation of these terms
  • Your violation of any third-party rights
  • Your products or services
  • Content you provide for advertising

Dispute Resolution

Any disputes arising from these terms or our services shall be resolved through:

  1. Good faith negotiation between the parties
  2. Mediation, if negotiation fails
  3. Binding arbitration in accordance with Delaware law

Governing Law

These terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to conflict of law principles.

Changes to Terms

We reserve the right to modify these terms at any time. We will notify existing clients of material changes via email. Continued use of our services after changes constitutes acceptance of the new terms.

Severability

If any provision of these terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
